Terms of Service

1. Acceptance of Terms
By accessing or using TEK Utah services, including our website, member portal, training platform, and managed IT services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
We reserve the right to modify these Terms at any time. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
2. Description of Services
TEK Utah, LLC provides IT support and cybersecurity services to businesses, including:
- Managed IT support and helpdesk services
- Cybersecurity assessments, monitoring, and response
- Cloud services and Microsoft 365 management
- Network infrastructure design and support
- Security awareness training and education
- Business continuity and disaster recovery planning
- Online member training portal and resources
3. Account Registration
3.1 Account Creation
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information and to maintain and update that information as needed.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use at info@tekutah.com.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion.
4. Services and Payment
4.1 Service Agreements
Managed IT and cybersecurity services are governed by a separate Service Agreement signed between TEK Utah and the client. In the event of a conflict, the Service Agreement takes precedence over these Terms.
4.2 Billing
Fees for services are due as specified in your service contract. TEK Utah reserves the right to modify pricing with 30 days' written notice. Late payments may incur interest at 1.5% per month.
4.3 Refunds
Refunds are handled on a case-by-case basis per your service agreement. Prepaid monthly service fees are generally non-refundable for services already rendered.
5. Acceptable Use
You may not use the Service to:
- Violate any applicable laws or regulations
- Transmit malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to TEK Utah systems or third-party systems
- Interfere with or disrupt the integrity of the Service
- Impersonate any person or entity
- Engage in any fraudulent or deceptive activity
6. Intellectual Property
The Service, including all software, content, designs, trademarks, and training materials, is owned by TEK Utah, LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
7. Confidentiality
In the course of providing services, TEK Utah may have access to confidential information about your business. We treat all client information with strict confidentiality and do not disclose it to third parties except as required to deliver the Service or as required by law.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TEK UTAH DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL SECURITY THREATS WILL BE PREVENTED.
To the maximum extent permitted by law, TEK Utah's total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the fees paid by you in the three months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless TEK Utah, LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Utah. Any disputes shall be resolved in the state or federal courts of Salt Lake County, Utah, and you consent to the exclusive jurisdiction of such courts.
